The settlement would compensate the estates of the seven people who died and pay part of the medical expenses for the sixty one people who were injured.
The proposed settlement is separate from the lawsuit filed against the band Sugarland, the stage rental company and the event promoter.
A windstorm knocked the stage onto the crowd before the band's concert at the fair back in August.
The estates and survivors have until next week to accept the state's offer or decide to pursue court claims.
